Vertoone provides custom software development, web and mobile application engineering, e-commerce solutions, and related digital consulting services. Specific deliverables, timelines, and fees are defined in individual project agreements or statements of work.

3. Intellectual Property

All content on this Site — including text, graphics, logos, and code — is owned by Vertoone or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Ownership of deliverables produced under a project agreement transfers to the client only upon full payment, unless otherwise specified in writing.

To the maximum extent permitted by law, Vertoone shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site or our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

7. Warranties & Disclaimers

The Site and its content are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during an engagement. This obligation survives the termination of any agreement unless the information becomes publicly available through no fault of the receiving party.

9. Termination

We reserve the right to suspend or terminate your access to the Site at our discretion if you violate these Terms. Either party may terminate a service engagement as specified in the applicable project agreement.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes shall be resolved in the courts of Dhaka, Bangladesh.
